Abstract/Summary
The Limited Liability Company (LLC) is a development in business entity law that has gained wide acceptance in other foreign jurisdictions. An LLC combines the attractive features of a partnership and a corporation by providing the management and operational flexibility of a partnership together with the limited liability protection of a corporate entity.
It is not the position of the author to say that the partnership and corporation form have outlived their usefulness in commercial law. However, the evolution of modern business practices and the changing market landscape have created a niche which the LLC can fill. As proven in other jurisdictions like the United States, the LLC business form has proven popular with small business enterprises whose special concerns the LLC has been able to address in a manner that partnerships and corporations have been unable to accomplish.
This study demonstrates the benefits of adopting the LLC format as an alternative business entity in the Philippine jurisdiction wherein the micro, small and medium businesses make up more than ninety (90%) percent of the total number of registered businesses and accounts for more than seventy (70%) percent of the country's labor force.
